About the deal

In 2015, Trian Fund Management, an activist investment firm co-founded by Nelson Peltz, initiated a significant investment in DuPont, a conglomerate with operations in chemicals, materials, and agriculture. Trian, known for its strategy of acquiring substantial stakes in companies it believes are underperforming and advocating for changes to improve shareholder value, targeted DuPont for what it saw as operational inefficiencies and a lack of focus that was suppressing the company’s true value.

Trian called for a number of strategic changes at DuPont, including cost cuts, improvements in capital allocation, and the separation of some of its major units to unlock shareholder value. The firm argued that DuPont’s conglomerate structure was cumbersome and that its businesses could operate more effectively as independent entities. One of Trian’s key proposals was to split DuPont into two companies: one focused on agriculture and nutrition and the other on materials science.

The campaign culminated in a proxy fight at DuPont’s 2015 annual shareholder meeting, where Trian sought to elect Peltz and three other nominees to the DuPont board. Despite Trian’s efforts, DuPont shareholders ultimately voted against Trian’s nominees, siding with the company’s existing board. However, the pressure from Trian is credited with accelerating strategic changes at DuPont, including its later decision to merge with Dow Chemical and subsequently split into three separate public companies, aligning with some of Trian’s initial suggestions for unlocking value.
